XM3/XM3.1: Short Circuit Effects on Standby Power

AGREEMENT: these terms and conditions govern your participation in the virtual event, meeting, or demonstration (the “Virtual Event”), and by participating and accepting an invitation to the Virtual Event, you agree these terms form a binding contract between the host and authorized participant (“you”).

CONFIDENTIALITY: you understand that during the course of the Virtual Event you may acquire or have access to information that is confidential, including information which is subject to copyright, trademark or patent laws, whether disclosed orally, visually, or otherwise and regardless of whether or not it is identified as “Confidential”, this information may include, designs, techniques, products, processes, methods, strategies, ideas, or data, any and all of which you agree to use and treat confidentially for your benefit and not disclose such confidential information to any unauthorized third party without the express written consent of the company. 

PROHIBITED CONDUCT: you represent and warrant that you will not: (1) sell, trade, transfer, or share your access to the Virtual Event, unless such is granted by the company; (2) record, photograph, or broadcast any material from the Virtual Event; (3) engage in unethical, fraudulent or deceitful business practices; (4) undertake to create or introduce into the Virtual Event any known spyware, virus, Trojan horse, logic bomb or other destructive program; and (5) engage in any behavior which creates a disruption, is lewd, vulgar or disparaging.

Feedback.  If you transmit any communication or material to company by mail, email, telephone, or otherwise, suggesting or recommending changes to the subject matter of the Virtual Event, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), company is free to use such Feedback irrespective of any other obligation or limitation between the parties governing such Feedback. All Feedback is and will be treated as non-confidential. You hereby assign to company all right, title, and interest in, and company is free to use, without any attribution or compensation to any party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although company is not required to use any Feedback.

Indemnification.  IN THE UNLIKELY EVENT THAT A THIRD-PARTY FILES A CLAIM, SUIT, ACTION, OR PROCEEDING ("THIRD-PARTY CLAIM") ALLEGING THAT THE FEEDBACK INFRINGES OR MISAPPROPRIATES SUCH THIRD PARTY'S INTELLECTUAL PROPERTY RIGHTS, YOU SHALL INDEMNIFY, HOLD HARMLESS, AND DEFEND COMPANY FROM AND AGAINST ANY LOSSES, DAMAGES, LIABILITIES, OR COSTS RESULTING FROM THE THIRD-PARTY CLAIM. 

PRIVACY: you will at all times comply with the provisions of all relevant data protection laws and regulations in respect of privacy and personal data and agree you have reviewed the company’s Privacy Policy available on our website.

Liability: the company shall not be responsible for any delays, delivery failures, viruses, hacker intrusions or other damage resulting from use of the internet or the Virtual Event platform, and makes no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, availability, or completeness of the Virtual Event, and to the fullest extent permitted by the applicable law, excludes: (a) all liability for loss, injury or damage to persons or property; (b) all indemnities, warranties (whether express or implied) or representations; and (c) any actual or alleged indirect loss or consequential loss howsoever arising suffered by you.

IF YOU TRANSMIT ANY COMMUNICATION OR MATERIAL TO COMPANY BY MAIL, EMAIL, TELEPHONE, OR OTHERWISE, SUGGESTING OR RECOMMENDING CHANGES TO THE SUBJECT MATTER OF THE VIRTUAL EVENT, INCLUDING WITHOUT LIMITATION, NEW FEATURES OR FUNCTIONALITY RELATING THERETO, OR ANY COMMENTS, QUESTIONS, SUGGESTIONS, OR THE LIKE ("FEEDBACK"), COMPANY IS FREE TO USE SUCH FEEDBACK IRRESPECTIVE OF ANY OTHER OBLIGATION OR LIMITATION BETWEEN THE PARTIES GOVERNING SUCH FEEDBACK. ALL FEEDBACK IS AND WILL BE TREATED AS NON-CONFIDENTIAL. YOU HEREBY ASSIGN TO COMPANY ALL RIGHT, TITLE, AND INTEREST IN, AND COMPANY IS FREE TO USE, WITHOUT ANY ATTRIBUTION OR COMPENSATION TO ANY PARTY, ANY IDEAS, KNOW-HOW, CONCEPTS, TECHNIQUES, OR OTHER INTELLECTUAL PROPERTY RIGHTS CONTAINED IN THE FEEDBACK, FOR ANY PURPOSE WHATSOEVER, ALTHOUGH COMPANY IS NOT REQUIRED TO USE ANY FEEDBACK.
